About the role
As a Senior Counsel, you’ll play a key role in managing complex corporate matters, ensuring compliance with governance frameworks, and supporting the execution of strategic initiatives across the Group. You’ll work closely with senior stakeholders across HQ, vertical, and regional teams to provide practical, business-oriented legal advice on corporate finance, group structure, and other high-impact projects.
Main tasks and responsibilities:
Advise on Group corporate governance, including internal reorganisations, group structure changes, and ensuring compliance with shareholders’ agreements, Articles, and other governance documentation.
Lead and coordinate Board and shareholder processes, including voting procedures, covenant reviews, and approval requirements in collaboration with the wider Legal & Compliance team.
Support the Investor Relations and Finance teams on governance matters and the annual audit process, ensuring alignment with corporate compliance obligations.
Contribute to Bolt’s public company readiness initiatives, advising on governance, regulatory, and structural considerations.
Provide legal support to the Corporate Finance team across equity and debt financing transactions — managing deal structuring, LDD processes, documentation, and signing/closing process.
Advise on M&A and strategic transactions, including acquisitions, divestments, and joint ventures — from due diligence to execution and post-closing integration.
Support fleet and asset financing projects, including micromobility and Bolt Drive leasing facilities — advising on deal structures, drafting and negotiating agreements, and ensuring compliance with existing obligations.
About you:
You are a qualified lawyer under Estonian law (or another EU jurisdiction with strong familiarity with Estonian corporate law) with at least 6 years of experience, ideally gained in a leading law firm or within the legal function of a multinational company.
You have strong expertise in corporate and transactional matters, including group structuring, governance, and M&A, with a solid understanding of cross-border corporate frameworks.
You have hands-on experience supporting financing transactions, including equity, debt, and asset financing, with the ability to manage complex deal execution and post-closing compliance.
You are proficient in corporate governance and company law, capable of advising on board and shareholder processes, regulatory obligations, and audit-related matters.
You are proficient in Estonian and English, both written and spoken, and comfortable engaging with Estonian regulatory and corporate documentation.
You are analytical, detail-oriented, and commercially astute, able to assess legal risk in context and provide clear, business-focused advice.
You are organised and collaborative, thrive in fast-paced, cross-functional environments, and take ownership of projects from initiation to completion.
